Manufacturing agreements and business terms for our B2B partnerships

These Terms of Service ("Terms") govern your use of PRONEO TREADMILL's website and manufacturing services. By accessing our services, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing or using our website, requesting quotes, or engaging in business with PRONEO TREADMILL, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Business Relationship
2.1 B2B Services
Our services are exclusively for business-to-business transactions, including:
- Wholesale manufacturing of treadmills and fitness equipment
- OEM (Original Equipment Manufacturer) services
- ODM (Original Design Manufacturer) services
- Custom manufacturing solutions
- Private label manufacturing
2.2 Minimum Order Quantities
All orders are subject to minimum order quantities (MOQ). Standard MOQ is 50 units per model. Custom orders may have different MOQ requirements as specified in individual quotations.
3. Ordering and Payment
3.1 Order Process
- All orders must be confirmed in writing
- Quotations are valid for 30 days unless otherwise specified
- Orders are subject to our acceptance and production capacity
- Specifications must be finalized before production begins
3.2 Payment Terms
- Standard payment terms: 30% deposit, 70% before shipment
- Payment methods: T/T (Wire Transfer), L/C (Letter of Credit)
- All prices are FOB Guangzhou unless otherwise agreed
- Currency: USD or as agreed in the contract
4. Manufacturing and Delivery
4.1 Production Timeline
- Standard products: 15-25 working days after deposit
- Custom/OEM products: 25-35 working days after sample approval
- Timelines may vary based on order quantity and specifications
- Peak season may require extended lead times
4.2 Quality Control
All products undergo rigorous quality control testing before shipment. We maintain ISO 9001:2015 certification and comply with international safety standards including CE, ROHS, and EN957.
5. Intellectual Property
5.1 Our IP Rights
All intellectual property rights in our:
- Website content, designs, and materials
- Product designs and specifications
- Manufacturing processes and techniques
- Trademarks and brand names
5.2 Customer IP Rights
We respect customer intellectual property rights. For OEM/ODM projects, IP ownership will be clearly defined in separate agreements. We maintain strict confidentiality of customer designs and specifications.
6. Warranties and Disclaimers
6.1 Product Warranties
We provide limited warranties on our products:
- Commercial treadmills: 2-year frame, 1-year parts warranty
- Home treadmills: 3-year frame, 2-year parts warranty
- Detailed warranty terms are provided separately
6.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7. Limitation of Liability
Our total liability for any claim shall not exceed the value of the specific order giving rise to the claim. We shall not be liable for indirect, consequential, or punitive damages, including lost profits or business interruption.
8. Force Majeure
We shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, material shortages, or transportation delays.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during business discussions. This includes technical specifications, pricing, customer lists, and business strategies.
10. Compliance and Export
Customers are responsible for:
- Compliance with import regulations in destination countries
- Obtaining necessary permits and certifications
- Payment of duties, taxes, and customs fees
- Compliance with local safety and product standards
11. Termination
Either party may terminate ongoing business relationships with 30 days written notice. Existing orders and contracts will be fulfilled according to their terms unless mutually agreed otherwise.
12. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China. Disputes shall be resolved through arbitration in Guangzhou under the China International Economic and Trade Arbitration Commission (CIETAC) rules.
13. Modifications
We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of modified terms.
